The Firm advised about 150 Bureau De Change Companies on the recapitalization of Capital Base from 10,000,000 ordinary shares to 35,000,000 ordinary shares and was key to the acquisition of operating licenses from the Central Bank of Nigeria. The Firm drafted requisite legal documentation and ensured compliance with the provisions of the relevant Nigerian Legislation.

The Firm served as legal adviser to a multinational company headquartered in Kenya on its incorporation as a foreign company in Nigeria. The Firm also advised on licensing and permits to operate within the industry. The Firm advised and carried out NOTAP registration, intellectual Property registration.

The Firm is currently advising a foreign company on its acquisition of a Nigerian specific assignments include drafting the share purchase agreement, review of shareholders agreement, conducting a comprehensive due diligence on the FMCG subsidiaries, real estate assets, advice on Nigerian Manufacturing and Production laws, NAFDAC, private equity investment, foreign exchange regulations, foreign interests in Nigerian companies, amongst others.

The Firm is currently advising a local infrastructure group on the acquisition of a minority stake in a mass housing real estate project worth about N200,000,000. Specific assignments included conducting a due diligence on the target company, review of the Shareholders Agreement and Subscription Agreement, advising on government mass housing policies as well as relevant permits and licenses for the operation of the local company. The Firm is also advising on the land rights to property held by the target company.

The Firm serves as legal adviser to a mining company in Keffi jointly owned by foreign and local partners. The Firm was instrumental to the registration of the company, financing documentation and application for mining license. Other assignment includes advising on appropriate security structure for the loan facility and perfection of the security. The Firm also conducted due diligence on some of the partnering entities and individuals, rendered general Nigerian law advice on the transaction as well as provided condition precedent and condition subsequent confirmations.
